Terms of Use & License Agreement

Effective: October 24, 2026

These Terms are an agreement between you and Merchant Protocol LLC ("we", "us") for the Sulla iPhone app and the Sulla Cloud services it uses (together, "Sulla"). By using Sulla you agree to these Terms and to our Privacy Policy.

1. What Sulla is

Sulla is an AI assistant. On iPhone you can chat and talk with Sulla, view your Sulla Files, use a Passwords vault with AutoFill, see and act on your Sulla Desktop agents and workflows, and manage your account and plan. Some features need Sulla Desktop on a Mac and turning on sync there.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. Keep your sign-in details secure, and tell us about any unauthorized use. You're responsible for activity in your account. If you join or create a workspace, its owners and admins control its membership and shared data.

3. AI output

Sulla uses AI models from third-party providers. AI output can be wrong, incomplete or inappropriate. Check anything important before you rely on it, especially medical, legal, financial or safety matters. Sulla isn't a professional adviser. When you let Sulla's agents act for you (for example by approving a request in Decide), you're responsible for that action.

You can report a reply by long-pressing it and choosing Report. We review reports and may act on them.

4. Acceptable use

Don't use Sulla to break the law, infringe others' rights, harass or harm anyone, create sexual content involving minors, make weapons or malware, deceive people, get around usage limits or security, scrape or overload the service, or resell Sulla without our permission. Also follow the usage policies of the AI providers Sulla uses. We may suspend or end access for violations.

5. Your content

You own what you put into Sulla and what Sulla produces for you, to the extent the law allows. You give us a limited license to host, process, transmit and display your content only to provide Sulla to you, including sending it to AI providers with your permission. You confirm you have the right to share the content you provide.

6. Passwords vault

Your vault is encrypted with keys only your devices hold. We can't see, recover or reset your master password or vault. If you lose your master password and all your approved devices, your vault can't be recovered. Keep a backup.

7. Plans, usage and payments

• Free use: one Sulla Cloud message a day, and chatting through your own Mac. Free limits may change.
• Plans: Cheapo ($20/month), Plus ($50/month), Pro ($150/month), and Max ($300/month) are monthly auto-renewing subscriptions sold through Apple. Each includes AI usage equal to its monthly price for Sulla Cloud chat, voice and agents, measured at Sulla's metered rates. Usage is enforced across four-hour, weekly and monthly windows, and unused included usage doesn't carry over.
• Billing: Payment is charged to your Apple ID at confirmation. Subscriptions renew automatically at the then-current price unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within the 24 hours before the period ends. Manage or cancel in your Apple ID's subscription settings.
• Top-ups: one-time purchases add AI usage equal to the price paid: a $9.99 top-up adds $9.99 of usage, and a $24.99 top-up adds $24.99 of usage. They don't expire. They're for use with an active plan, and when spent they're gone.
• Refunds: Apple handles purchases and refunds under its policies. Contact Apple to request a refund.
• Price changes: we'll give notice as Apple requires.
• Plans bought on our website or in Sulla Desktop also work in the app.

8. Third-party services

Sulla works with Apple, Cloudflare and the AI providers named in our Privacy Policy, and with any provider you set up in Sulla Desktop. Their terms also apply to your use of their services, and we're not responsible for them.

9. Ending your use

You can stop using Sulla and delete your account any time in Settings › Profile › Delete account. We may suspend or end your access if you break these Terms or if we must by law. Sections 5–6 and 9–14 survive termination.

10. Disclaimers

Sulla is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. We don't promise Sulla will be uninterrupted, error-free or that AI output will be accurate.

11. Limitation of liability

To the extent the law allows, Merchant Protocol LLC won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business. Our total liability for any claim relating to Sulla is limited to the greater of what you paid us in the 12 months before the claim or US$50.

12. Indemnity

You'll defend and indemnify Merchant Protocol LLC against third-party claims arising from your content or your misuse of Sulla.

13. Apple App Store terms

These apply because you got the app from Apple's App Store:

• These Terms are between you and Merchant Protocol LLC only, not Apple. We, not Apple, are solely responsible for the app and its content.
• Your license is non-transferable, to use the app on Apple-branded devices you own or control, as allowed by the App Store's Usage Rules.
• Apple has no obligation to provide maintenance or support for the app.
• If the app fails to meet any applicable warranty, you may notify Apple, and Apple will refund the app's purchase price (if any). Apple has no other warranty obligation for the app.
• We, not Apple, are responsible for any claims about the app, including product liability, failure to meet legal or regulatory requirements, and consumer protection or similar laws.
• We, not Apple, are responsible for investigating, defending, settling and discharging any claim that the app infringes a third party's intellectual property.
• You confirm you aren't in a country under a U.S. Government embargo or designated as "terrorist supporting", and aren't on any U.S. Government list of prohibited or restricted parties.

• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes go to the state or federal courts located in Delaware, unless your local law gives you the right to bring a claim where you live.

15. Changes

We may update these Terms. We'll post the new version with a new effective date and tell you in the app or by email about significant changes. Continuing to use Sulla after that means you accept them.
